Seller Agreement
This seller agreement is an electronic record in the form of an electronic contract. This agreement does not require any physical, electronic or digital signature.
1. General Terms-
- You must be 18 years of age or older or you will not be able to enter into a legally binding contract to buy or sell via Showshul.
- If you register membership as a business [as a sole trader or partnership] on Showshul you must guarantee that you personally have the authority of the business to agree to the terms of use.
- These terms shall be governed by and interpreted in accordance with the law of United Kingdom.
2. Agreement–
This agreement is a legally binding document between you and Showshul (both terms defined below). The terms of this agreement will be effective upon your acceptance of the same and will govern the relationship between you and Showshul, including with respect to the listing, advertising, exhibiting, making available, marketing, sale and/or delivery of any products through the website (defined below). If any terms of this agreement conflict with any other document/electronic record, the terms and conditions of this agreement shall prevail, until further change / modifications are notified by Showshul.
3. Electronic Communications-
- When you use certain Showshul Services, or send e-mails to us, you communicate with us electronically. You consent to receive communications from us electronically. We may communicate with you by e-mail, by posting notices on our websites, by delivering notifications through our mobile applications or through other electronic means. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
- You must not use Showshul for any illegal or unauthorized purpose and you agree to comply with all ‘local’ laws regarding online conduct and acceptable content such as libel law and must comply with all local jurisdictions.
- You must not breach any laws, sell any counterfeit items or otherwise infringe the copyright, trademark or other rights of third parties.
- You must not threaten, intimidate, harass or otherwise abuse any other Showshul user.
- You are responsible for maintaining that the content you submit is your own and is not owned by others.
- You must not modify or adapt or ‘hack’ Showshul.com or seek to create another website or communication to users that implies it is associated to Showshul.com.
- You must not produce unwanted communications [spam] to other users of Showshul.
- You are responsible for keeping your password secure.
- You must not transmit or seek to transmit any viruses’ or worms or any code that seeks to alter the behavior of the Showshul site or that is in any way destructive.
4. Liability-
Under no circumstances will Showshul be liable for any of the following losses or damage (whether such losses where foreseen, foreseeable, known or otherwise): (a) loss of data; (b) loss of revenue or anticipated profits; (c) loss of business; (d) loss of opportunity; (e) loss of goodwill or injury to reputation; (f) losses suffered by third parties; or (g) any indirect, consequential, special or exemplary damages arising from the use of Showshul regardless of the form of action.
5. Content and Copyright-
- You [“the user”] in using Showshul allow Showshul the right to re-use, edit, modify, re-purpose and re-publish the content. “You” retain rights over copyright of all such content yet provide a license for Showshul to use this content both on and offline in perpetuity.
- You must not post, list or upload false, inaccurate, misleading or defamatory content (including personal information).
- You must not copy, modify, or distribute Showshul’s copyrighted works or trademarks, or other content from the Site, without our express consent.
- Showshul may change or remove content (“content” includes, for example, items, item descriptions, and other information on the site) and accounts containing content that Showshul determines to be unlawful, offensive, threatening, libelous, defamatory, obscene or otherwise objectionable or violates any party’s intellectual property, the Terms of Use, the Privacy Policy or other policy documents and community guidelines as posted on Showshul.
- By submitting your content you grant Showshul a perpetual, royalty-free, non-exclusive, right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, make available to the public, and exercise all copyright and publicity rights with respect to your contribution worldwide and/or to incorporate your contribution in other works in any media now known or later developed for the full term of any rights that may exist in your contribution, and in accordance with privacy restrictions set out in the Showshul Privacy Policy. - Your content must be your own original work which you have the right to make available and is not defamatory, does not infringe any law and indemnify Showshul against all legal fees, damages and other expenses that may be incurred by Showshul as a result of your breach of the above warranty.
- Exercise honesty with us. Provide accurate information about yourself. It’s prohibited to use false information or impersonate another person or company through your account.
- You’re responsible for your account. You’re solely responsible for any activity on your account. If you’re sharing an account with other people, then the person whose financial information is on the account will ultimately be responsible for all activity. If you’re registering as a business entity, you personally guarantee that you have the authority to agree to the Terms on behalf of the business. Also, your accounts are not transferable.
- Protect your password. As we mentioned above, you’re solely responsible for any activity on your account, so it’s important to keep your account password secure.

Unless mandated under any Applicable Law, Your aforesaid information and materials shall not be disabled or deleted from the Website till such time any seller on the Website is using the same for advertising, exhibiting, making available and offering to sell such other sellers products on the Website.
You represent and warranty that the Product description shall not be misleading and shall describe the actual condition of the Product. If a Product is subject to expiry date or expiry duration, You shall not offer to sell and sell any such Product which has passed 75% (seventy five percent) of its expiry duration. If the Product sold does not match the Product description displayed on the Website, You shall refund and permit SHOWSHUL to refund any amounts that You may have received, or have credit to You, from the Buyer. You represent that you have obtained all Consents as may be required in order to provide the information and description of the Products on the Website.
You shall be solely responsible for ensuring that the Seller 360 is updated and reflects the real-time availability / non-availability of the Products listed on the Website. You shall be responsible for claims made by Buyers for inaccurate Product availability details that are displayed on the Website due to any negligence / default on your part to provide updated and accurate Product information. You shall retain adequate inventory of the Products listed on the Website for successful and timely fulfillment of orders.
You may also be required to provide images of the Products and/or images of the brands/ logos of the Products. You grant Showshul a non-exclusive and worldwide right and license to use the Product description, images of the brands/ logos of the Products to be used on the Website, and in any marketing and promotion material of Showshul to promote the sale of such Product on the Website, and, if required, to make technical modifications to the images so as to render them feasible for uploading on the Website. You represent that you have obtained all Consents as may be required (including Consents from the owners of the relevant brands where relevant) in order to grant Showshul the aforesaid rights and licenses.
You shall not attempt to exhibit, advertise, make available or offer for sell or use by Showshul whether shipping by themselves or through Showshul for any Products falling in the category of Prohibited & Restricted Item on this Website. Showshul shall be entitled to block or disable access of all such products and shall also have the right to suspend or terminate the Seller’s access to the Seller 360 and the Website or terminate this Agreement forthwith. You agree and acknowledge that Showshul is not under any obligation or duty to verify or monitor any listing or content You provide or make available on the Website. You shall be the originator of all such listings or content and all the data and information contained therein, and Showshul shall be an intermediary for the purpose of such listings or content and all the data and information contained therein.
On the Buyer selecting to purchase the Products (i.e. “ordering”) exhibited, advertised, made available or offered to sell by You on the Website and either making the payment of the Selling Price through the payment gateway provided on the Website or opting for cash on delivery, You will be intimated of the same through an electronic notification on the Seller 360 along with the details of the Buyer as provided by Buyer on the Website. You shall forthwith ensure that the Product(s) so ordered as duly and safely packed in accordance with Applicable Laws and shall immediately fulfill and complete the order of the Buyer.
You shall ensure that the Product as ordered by the Buyer is dispatched to the Buyer within such time period which Showshul may prescribe from time to time, along with all the required information, manuals, accessories (where applicable) warranty documents (where applicable) and any other relevant documents, to enable the Buyer to optimally use the Product purchased. You shall also issue and send a corresponding Invoice along with the Product.
Showshul allows sellers to handle order shipments independently. Sellers are entrusted with ensuring timely delivery of orders to buyers. In the event of any damage, loss, or deterioration occurring during transit, the responsibility lies solely with the seller and not with Showshul. It is the seller’s obligation to guarantee that the products being delivered are free from faults and precisely match the items listed and advertised on the website. Sellers must ensure that the products meet all descriptions and specifications as provided on the website and as purchased by the buyer. By dispatching the order by Seller, sellers acknowledge and agree to these terms and conditions, accepting liability for the safe and accurate delivery of their products to buyers.
SHOWSHUL receives any complaint from any Buyer, or any third party or if You are found exhibiting, advertising, making available or offering for sale, using Logistics Services, selling or delivering illegal, infringing, fake, duplicate, spurious, counterfeit, refurbished or previously owned Products or Products meant “not for sale” or attempting to undertake the above through the Website, then, without prejudice to Showshul ‘s other rights and remedies, You shall be liable to pay such amount to Showshul in accordance with “Product Return Policy”. You agree that this liability will not be treated as penalty and Showshul shall have all other legal rights and remedies under this Agreement and Applicable Laws. Showshul reserves the right to adjust or off set the above amount from any amount accrued or due to You or is required to be remitted to You pursuant to this Agreement.
SHOWSHUL reserves the right to demand any document related to Products listed by You, including documents required for the verification of Product genuineness. You shall not submit any incorrect, incomplete, misleading, or fake documents, such as invoices or brand authorization certificates, when requested by Showshul. It is mandatory for sellers to provide brand authorization for branded items. Additionally, sellers are prohibited from re-registering under a different name in the event of delisting from the Website.
You hereby agree and acknowledge that any Product sold by You to Buyer may be refused to be accepted or taken delivery by the Buyer. You agree to accept the return of such Products whether ordered on cash on delivery mode or any other mode of payment. In case of rejection or non-acceptance of the Product by the Buyer, Showshul shall refund to the Buyer the Selling Price paid by the Buyer and Seller shall be liable to pay the charges in accordance with Commercial Term Segment.
Showshul reserves the right to demand any document related to Products listed by You, including documents required for the verification of Product genuineness. You shall not submit any incorrect, incomplete, misleading, or fake documents, such as invoices or brand authorization certificates, when requested by Showshul. It is mandatory for sellers to provide brand authorization for branded items. Additionally, sellers are prohibited from re-registering under a different name in the event of delisting from the Website.
In case of return, rejection, or damage to Products, SHOWSHUL is not responsible for damages.
For the purpose of marketing or promoting the Website and other services, Showshul may run various promotional offers from time to time to the Buyers or otherwise on the Website or in relation to the Website.
All commercial / contractual terms such as selling price of the Product, dispatch, delivery of the Products, warranties, etc., are bipartite contracts between the Buyer and You. Showshul and/or the Website are in the role of intermediaries in all such transactions. The payment facility is merely used by the Buyer and You to facilitate completion of the transaction. Use of the electronic payment facility or the cash on delivery method shall not render Showshul liable or responsible for the non-delivery of the Products listed on the Website or for any other reason whatsoever.
9. Collection of Fees and Other Amounts You Owe-
When you join Showshul, you are automatically enrolled in paid promotion. You authorize us to collect from you any amounts you owe us, our Affiliates (in particular the Affiliate which provides the Showshul Services to you), or third parties who, as separately authorized by you, provide services to you in connection with your use of the Showshul Services (such as shipping carriers).
SHOWSHUL shall have the right to amend the fee applicable to each Product category and/or add or introduce any new fee or charges and/or the Payment Cycle as provided in the Commercial Term Segment with a prior notice to You. Accordingly, prior to the implementation of the revised fee or new fee or Payment Cycle for any Product, Showshul shall notify You, by way of an email and/or a notification on the Seller 360 detailing such additions/modifications/ amendments/ revisions to the fee or Payment Cycle. It shall be the Sellers responsibility to read the emails / notifications sent by Showshul from time to time. Your use of Seller 360 (including any updating any information in Seller 360, listing of Products, inventory maintenance, etc.) after additions/modifications/ amendments/ revisions of the fee or Payment Cycle shall be deemed as acceptance of such additions/modifications/ amendments/ revisions.
Showshul shall, at all times, have the right and option to deduct / adjust / off-set any payments due to, or from, You in one sale transaction against any payments due from, or to, You in other sale transactions including recovery/ adjustment/ off-set of any outstanding amount due and payable by You to Showshul from any Seller Proceeds payable to You and You authorize Showshul to such recovery, deduction, off-set or adjustment.
10. Amendment-
Showshul reserve all the rights to amend our policies of Use by notifying you of the changes in writing. Before the anticipated effective date of such change, we will notify you at least fourteen (14) days prior.
11. Tax Matters-
You will be responsible for the invoicing, collection and payment of any and all of taxes applicable on the Product sold thorough the Website together with the filing of all relevant returns and compliance required under VAT/CST/Entry Tax, Cess / Local Business Tax, Service Tax, Excise, GST, Customs or any other tax applicable on the Product listed and sold by You and applicable on You according to the Central / State / Local / Municipal Applicable Laws.
You will be solely responsible to charge correct rate of applicable taxes. You shall discharge Your obligations with respect to these taxes under Applicable Laws including valuation, MRP and classification of Product listed by You on Showshul and for any liability arising out of Your failure to comply with these obligations You shall be liable to indemnify Showshul and other persons in accordance with this Agreement. You will issue Tax invoice/credit memos as applicable including immediate correction, in case any discrepancies or errors are observed in terms of the mandatory statutory requirement prescribed under Applicable Laws. You will be solely responsible for preparing, making and filing any tax return/audit report, statutory reports and other filings and responding to any tax or financial audits of Your Products.
In case of instruction from any statutory authority or in the interest of tax compliances, Showshul may ask and You agree to promptly provide Showshul requisite evidence of Your discharge of obligations relating to taxes and in case of Your failure to duly deposit and / or comply with tax obligations, Showshul shall have the right to immediately de-activate Your account and/or utilize Seller Proceeds for discharging statutory obligations arising due to Your failure.If Showshul is required by Applicable Law to collect any taxes from You, You will immediately pay such taxes to Showshul and Showshul shall have the right to deduct or recover the same from the Seller Proceeds.
12. Security; Third-Party Providers; Data Protection-
Security-
You acknowledge the importance of the security measures we put in place with regards to Managed Payments, and agree to comply with them. You are responsible for maintaining the security of all passwords, codes, or other login credentials used to access your Showshul account and the related Payment Services and, subject to Showshul’s seller protection policies, for any transactions made or actions taken using your Showshul account.
37. If you become aware of an unauthorized payment transaction or of a delayed or incorrectly executed transaction, you must notify us immediately by using a contact method stated in the “Introduction” of these Payments Terms of Use, above. If you notify us by telephone of such a transaction, we may request written confirmation immediately following the notification. The notification shall be free of charge.
Third-Party Providers-
We may use our Affiliates or third-party service providers (for example companies that process payments and disburse settlements, perform risk assessments or compliance checks, verify identity, or validate payment or settlement methods) in different location to assist. Our Affiliates or third-party service providers may further outsource the services to other Showshul Affiliates or third-party service providers. In this context we may transfer your data to such Showshul Affiliates or third-party service providers to whom services are outsourced. At times, we may communicate to you through the Showshul Affiliate which provides the Showshul Services to you.
Data Protection- Our performance of Payment Services entails the processing of your buyer’s personal data when a sale happens. With respect to such data processing, you, the Responsible Payment Entity, and the Payout Entity each act as a separate data controller/business under the applicable data protection laws. You agree to comply with your obligations as a data controller/business pursuant to the applicable data protection laws, and provide us with all such reasonable cooperation, information, and assistance as necessary for us to meet our requirements as a data controller/business.
13. Fines, Penalties and Losses-
We are unable to manage payments for prohibited & restricted items. Before listing your item, you must ensure it complies with Showshul’s rules, applicable laws, and any additional restrictions imposed by credit card associations, network rules, or third-party payments service providers that we may use.
14. Signature-
In instances where we are required to collect your signature to meet anti-money laundering and/or other legal requirements, we may (where not prohibited by applicable law) treat your acceptance of these Payments Terms of Use as the equivalent of you providing us your signature.
15. Audit –
Showshul shall have the right to inspect and audit Your records and premises / place of business through itself or through Showshul approved third party in case the same is required to ensure Showshul compliance of Applicable Laws or any statutory obligations / instructions.
16. Intellectual property rights-
Both Parties agree that all intellectual property, including any brands/logos, trademarks, etc., belonging to each Party are the exclusive property of the respective Party and, except as provided in this Agreement or permitted under Applicable Laws, cannot in any circumstances be used, or copied, or altered in any manner. Further, except as provided in this Agreement or permitted under Applicable Laws, neither Party may use any intellectual property, including any brands / logos, or trademarks, which is identical/ similar the brands/logos/trademarks of the other Party without being specifically authorized in writing by that other Party.
17. Confidentiality-
You acknowledge that during the existence of this Agreement, You will have access to confidential information of Showshul and its affiliates and their respective third parties which shall include the data and information of Buyer or any user of the Website. You undertake to keep strictly confidential all data, reports and other confidential information supplied to You by Showshul or You have the access under this Agreement and shall not sell or otherwise make that information available to any third parties and shall not use the confidential information solely in connection with this Agreement.
18. Suspension and Termination-
This Agreement may be terminated:
(i) By Showshul, with immediate effect, if You are in breach of any of its terms and/or any of the Showshul Policies, provided that, instead of terminating this Agreement, Showshul may, at its discretion, delist or disable Your listings from the Website and/or temporarily or permanently disable Your access to Seller 360 and/or User ID;
(ii) By Showshul, without any reason, by giving You a prior written notice of seven (7) days;
(iii) By Seller, with 30 (thirty) days prior written notice to Showshul (to its Grievance Officer), unless specifically stated to the contrary in this Agreement; or (iv) By Showshul, with immediate effect, if a petition for relief under any bankruptcy or insolvency is filed by or against You, or You make an assignment for the benefit of the creditors, or a receiver or an administrative receiver or administrator is appointed for all or a substantial part of Your assets.
19. Cross Border Transfers –
Where permitted by applicable law, Showshul may transfer the personal data collected about you to the countries outside the European Economic Area (EEA) that may not be deemed to provide the same level of data protection as the United Kingdom, as necessary to perform the contract with you and for the purposes set out in this notice. Showshul has implemented either standard contractual clause set out in the UK International Data Transfer Agreement (IDTA) or supplementary measures to secure the transfer of your personal data to these third countries.
20. Seller Payment Policy-
Showshul Payments allows sellers to accept various forms of payments on Showshul.com. We accept payment from buyers by credit card, debit card, Showshul Gift Card, Showshul Credit, Showshul Coupon, some bank transfer services, Stripe payment gateway (where available) all in their domestic Showshul Payments currencies. Payments are initiated promptly after a successful sale, and sellers can expect funds to be transferred to their accounts within a specified timeframe i.e 14+2 days (14 days return policy). Typically, payments are processed within 16 business days of the item being delivered to the buyer. Please note that weekends, bank holidays, and other factors may affect payment processing times.
21. Pricing Policy-
Please note that trust is the most important aspect of trade between buyers and sellers in the marketplace and one of the key aspects of trust is fair pricing. For healthy transaction flow at Showshul.com, we ask you to price your items responsibly. Please note that we are constantly monitoring prices for each merchant at various channels and do not allow you to price your items at higher prices at Showshul.com vs. other channels such as your own retail store, your own website (if any) or any other 3rd party retail stores or Websites. You should price your items sold at Showshul.com to be same as the lowest rate you are selling elsewhere or even lower, but it should not be more. Violation of our pricing policy will result in warning notices and can also result in account suspension and/or store suspension.

Seller Cancellation & Return Policy

Cancellation:
Some of the cancellation affects the business of both, the seller, as well as Showshul. If the buyer places an order and cancels it within 24 hours before dispatch, the full amount has already been paid by the buyer; the full amount is refunded to the buyer. - Ensure Timely Delivery: Deliver top-quality products promptly to minimize returns and cancellations, thereby improving seller ratings on seller360 and enhancing customer satisfaction.
Seller cancellations do have an adverse impact on the seller and Showshul. A seller, in order to improve their ratings on seller360, as well as to increase customer satisfaction, should put in all efforts to ensure that returns and cancellations are minimized by delivering top quality products well within the time frame.
Return:
There will be two types of return:
- Courier Return: When a buyer refuses to accept the order, resulting in its return without delivery.
- Buyer Return: When a buyer returns the item after delivery due to reasons such as receiving the wrong product, different color, different size, etc.

Seller Onboarding Policy
1. Shop email address and phone number
- The email address and mobile number provided while registering becomes the default primary contact number where all business updates from Showshul will send. However, you can change your primary contact detail post registration through seller portal.
2. Shop Name
- Shop name is the display name by which buyers will know you on Showshul.com
- The seller will not be allowed to change shop name post registration.
3. Company Name
- A company name is the legally registered name of your business or company. Your VAT registration certificate must bear the company name.
4. Shop address
- Your order will be fetched by the logistics partners from your given shop address. You can change your shop address post registration by emailing or calling our seller support.
5. ID & Signature verification-
- Provide you VAT id and upload the VAT documents.
- Create or upload your signature

8. Item Weight Calculation:
- Sellers must accurately calculate the weight of each item for shipping purposes. The item weight will be determined based on its actual weight or volumetric weight, whichever is higher. This ensures that shipping charges are calculated correctly and reflect the true cost of shipping the item.
9. Volumetric Weight Calculation:

Sellers can boost their visibility on Showshul’s platforms by purchasing Showshul Ads through the Seller360 in Ads Manager. Showshul Ads showcase a seller’s listings or shops prominently on Showshul’s websites and mobile apps. These ads appear in various locations, including users’ search results, based on four main ranking factors: search relevance, listing quality (ensuring compliance with Showshul’s policies), bids or budgeted amounts, and, for some listings, the likelihood of views or sales. Sellers have the option to promote selected or all of their listings or shops through Showshul Ads.
Showshul’s Targeted Offers tool allows sellers to offer coupons to specific audiences who have interacted with their shop.
2. Purchasing Showshul Ads:
A. Showshul Ads Auction System
- Showshul Ads operate on an auction-based system for ad space.
- Sellers set a daily budget, and Showshul enters bids on their behalf for ad space.
- The bid is the maximum amount a seller will be charged if a buyer clicks on their Showshul Ad.
- Bids are calculated based on seller-provided information (daily budget, selected listings) and other factors like search relevance and listing quality.
B. Cost-Per-Click (CPC) Basis
- Showshul Ads fees are charged on a cost-per-click basis.
- Sellers are charged only when a buyer clicks on their ad, not just when the ad is displayed.
- Sellers are responsible for paying for any clicks their ad receives.
C. Budget Management
- Sellers can set a daily budget, which cannot exceed a predetermined minimum set by Showshul.
- Sellers will not be charged more than their maximum budget on a daily basis.
- The bid management system uses “auto-bidding” to determine bid prices, ensuring a positive return on ad spends within the specified budget.
- Sellers may set a maximum cost per click that the auto-bidding system will not surpass if the product permits.
D. Pausing Ads and Charges
- Sellers have the option to pause their ad campaigns at any time.
- However, sellers are responsible for any charges incurred prior to pausing their campaign.
- Showshul does not provide refunds for charges related to clicked ads.
E. Payment and Visibility
- Ad costs are visible in the seller’s payment account on Seller360, usually within 24 hours of incurring the fee.
- All bids and charges are made in Great Britain Pound (GBP)

Money Off Promo Code:
- A money off promo code provides buyers with a fixed discount in monetary value on the item’s original price.
- Sellers can create money off promo codes for specific listings, category or entire products.
- Buyers can use the money off promo code on multiple eligible items until the code’s expiration date & code redemption limit given.
- Sellers can set a minimum purchase/quantity requirement for buyers to be eligible for the discount.
- Sellers can set an expiration date for the promo code.
General Terms and Conditions for Showshul Promo Codes:
1. Seller Responsibility:
- Sellers are responsible for creating, promoting, and distributing promo codes.
- Sellers must clearly communicate the terms and conditions of the promo code to buyers.
- The Coupon code can be used by any buyer who redeems the code and that a buyer can use a Coupon code on multiple listings and on multiple occasions until any expiration date and code redemption limit that you set when creating the Coupon.
2. Buyer Eligibility:
- Buyers must meet the specified criteria (percentage off, money off or minimum purchase, minimum quantity as applicable) to use the promo code.
- Buyers must apply the promo code during checkout to receive the discount.
3. Usage Restrictions:
- Promo codes cannot be combined with other offers, unless explicitly stated by the seller.
- Promo codes cannot be used for fee avoidance, including avoiding payment of Showshul transaction fees.
4. Expiry and Validity:
- Promo codes have an expiration date set by the seller.
- Expired promo codes are no longer valid and cannot be redeemed.
5. Compliance with Laws:
- Sellers must comply with all applicable laws, including buyer policy, when creating and promoting promo codes.

6. You must not breach any laws, sell any counterfeit items or otherwise infringe the copyright, trade mark or other rights of third parties.
7. You must not threaten, intimidate, harass or otherwise abuse any other Showshul user.
8. You are responsible for maintaining that the content you submit is your own and is not owned by others.
9. You must not modify or adapt or ‘hack’ Showshul.com or seek to create another website or communication to users that implies it is associated to Showshul.com.
10. You must not produce unwanted communications [spam] to other users of Showshul.
11. You are responsible for keeping your password secure.
12. You must not transmit or seek to transmit any viruses or worms or any code that seeks to alter the behavior of the Showshul site or that is in any way destructive.
Liability:
13. Under no circumstances will Showshul be liable for any of the following losses or damage (whether such losses where foreseen, foreseeable, known or otherwise): (a) loss of data; (b) loss of revenue or anticipated profits; (c) loss of business; (d) loss of opportunity; (e) loss of goodwill or injury to reputation; (f) losses suffered by third parties; or (g) any indirect, consequential, special or exemplary damages arising from the use of Showshul regardless of the form of action.
Content and Copyright:
14. You [“the user”] in using Showshul allow Showshul the right to re-use, edit, modify, re-purpose and re-publish the content. “You” retain rights over copyright of all such content yet provide a license for Showshul to use this content both on and offline in perpetuity.
15. You must not post, list or upload false, inaccurate, misleading or defamatory content (including personal information).
16. You must not copy, modify, or distribute Showshul’s copyrighted works or trademarks, or other content from the Site, without our express consent.
17. Showshul may change or remove content (“content” includes, for example, items, item descriptions, and other information on the site) and accounts containing content that Showshul determines to be unlawful, offensive, threatening, libelous, defamatory, obscene or otherwise objectionable or violates any party’s intellectual property, the Terms of Use, the Privacy Policy or other policy documents and community guidelines as posted on Showshul.
18. By submitting your content you grant Showshul a perpetual, royalty-free, non-exclusive, right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, make available to the public, and exercise all copyright and publicity rights with respect to your contribution worldwide and/or to incorporate your contribution in other works in any media now known or later developed for the full term of any rights that may exist in your contribution, and in accordance with privacy restrictions set out in the Showshul Privacy Policy. This will enable us to reproduce your work for the purposes of marketing the service and your work [for example: ‘adverts’; blog posts; printed and web related marketing material; books etc.].
19. Your content must be your own original work which you have the right to make available and is not defamatory, does not infringe any law and indemnify Showshul against all legal fees, damages and other expenses that may be incurred by Showshul as a result of your breach of the above warranty.
20. Exercise honesty with us. Provide accurate information about yourself. It’s prohibited to use false information or impersonate another person or company through your account.
21. You’re responsible for your account. You’re solely responsible for any activity on your account. If you’re sharing an account with other people, then the person whose financial information is on the account will ultimately be responsible for all activity. If you’re registering as a business entity, you personally guarantee that you have the authority to agree to the Terms on behalf of the business. Also, your accounts are not transferable.
22. Protect your password. As we mentioned above, you’re solely responsible for any activity on your account, so it’s important to keep your account password secure.
Use of Our Services:
23. Don’t Use Our Services to Break the Law. You agree that you will not violate any laws in connection with your use of the Services. This includes any local, state, federal, and international laws that may apply to you. For example, it’s your responsibility to obtain any permits or licenses that your shop requires, and to meet applicable legal requirements in applicable jurisdiction(s). This includes the sale and delivery of your items, such as age verification upon delivery, where required by law.
24. Pay Your Bills. You are responsible for paying all fees that you owe to Showshul. Except as set forth below, you are also solely responsible for collecting and/or paying any applicable taxes for any purchases or sales you make through our Services. Where applicable, Showshul will calculate, collect and remit value-added tax or VAT and sales tax. Some countries may refer to VAT using other terms, e.g. Goods and Services Tax (GST), but we’ll just refer to VAT, GST, and any local sales taxes collectively as “VAT”.
25. Don’t Steal Our Stuff. You agree not to crawl, scrape, or spider any page of the Services or to reverse engineer or attempt to obtain the source code of the Services (including both Showshul Intellectual Property and Seller Content) without our express permission.
26. Don’t Try to Harm Our Systems. You agree not to interfere with or try to disrupt our Services, for example by distributing a virus, excessive requests to our site or platform, or other harmful computer code.
27. Follow Our Trademark Policy. The name “Showshul” and the other Showshul marks, phrases, logos, and designs that we use in connection with our Services (the Showshul Trademarks), are trademarks, service marks, or trade dress of Showshul in the United Kingdom and other countries.
Seller Onboarding:
28. In order to use our services, you must register and accept these Showshul Terms of Use. If your onboarding is not immediately confirmed, you will receive notification that you have been approved to receive services once we have reviewed your information.
Shipping:
29. When you receive notice that a buyer has paid for an item through a Managed Payments transaction, you must then ship or otherwise deliver your item in accordance with the agreed shipping method.
Managed Payments Limitations:
30. We do not manage Offline Payment Methods. Offline Payment Methods are not covered by the Showshul Money Back Guarantee or similar Showshul buyer protection programs; additionally, we will not assist buyers or sellers with payment disputes in connection with Offline Payment Methods.
Returns and Cancellations Refunds:
31. If your buyer is entitled to a refund for a return or cancellation for a Managed Payments transaction, based on an agreement between you and the buyer or according to Showshul’s policies regarding such transaction, you authorize us to pay to the buyer the corresponding refund amount on your behalf.
Disputes:
32. We will manage Disputes, as follows: When a Dispute is opened, we will notify you and ask you whether you choose to accept or challenge the Dispute. If you accept the Dispute, you agree to the reversal of the payment to the buyer. If you challenge the Dispute, Showshul will submit to the financial institution any relevant evidence you provide about the Dispute. You agree to provide timely information to assist in the Dispute resolution process and understand that your failure to provide requested information on the timeline we require and as specified by credit and debit card networks’ and other payment service providers’ rules could adversely impact the outcome of a Dispute investigation, up to complete forfeiture of the amounts in Dispute. If you accept the Dispute or if the buyer’s financial institution decides in favor of the buyer, the respective amount will be refunded to the buyer’s original payment method and charged to us. You must reimburse us for such charges, unless you are eligible for seller protection in which case you are not held liable for amounts refunded to the buyer. If you choose to accept the Dispute, we may still decide to challenge the Dispute in our discretion and at no additional costs to you.
Fines, Penalties and Losses:
33. We are unable to manage payments for prohibited & restricted items. Before listing your item, you must ensure it complies with Showshul’s rules, applicable laws, and any additional restrictions imposed by credit card associations, network rules, or third-party payments service providers that we may use.
Signature:
34. In instances where we are required to collect your signature to meet anti-money laundering and/or other legal requirements, we may (where not prohibited by applicable law) treat your acceptance of these Payments Terms of Use as the equivalent of you providing us your signature.
Security; Third-Party Providers; Data Protection:
Security:
35. You acknowledge the importance of the security measures we put in place with regards to Managed Payments, and agree to comply with them. You are responsible for maintaining the security of all passwords, codes, or other login credentials used to access your Showshul account and the related Payment Services and, subject to Showshul’s seller protection policies, for any transactions made or actions taken using your Showshul account.
36. If you become aware of an unauthorized payment transaction or of a delayed or incorrectly executed transaction, you must notify us immediately by using a contact method stated in the “Introduction” of these Payments Terms of Use, above. If you notify us by telephone of such a transaction, we may request written confirmation immediately following the notification. The notification shall be free of charge.
Third-Party Providers:
37. We may use our Affiliates or third-party service providers (for example companies that process payments and disburse settlements, perform risk assessments or compliance checks, verify identity, or validate payment or settlement methods) in different location to assist. Our Affiliates or third-party service providers may further outsource the services to other Showshul Affiliates or third-party service providers. In this context we may transfer your data to such Showshul Affiliates or third-party service providers to whom services are outsourced. At times, we may communicate to you through the Showshul Affiliate which provides the Showshul Services to you.
Data Protection:
38. Our performance of Payment Services entails the processing of your buyer’s personal data when a sale happens. With respect to such data processing, you, the Responsible Payment Entity, and the Payout Entity each act as a separate data controller/business under the applicable data protection laws. You agree to comply with your obligations as a data controller/business pursuant to the applicable data protection laws, and provide us with all such reasonable cooperation, information, and assistance as necessary for us to meet our requirements as a data controller/business.
Collection of Fees and Other Amounts You Owe:
39. You authorize us to collect from you any amounts you owe us, our Affiliates (in particular the Affiliate which provides the Showshul Services to you), or third parties who, as separately authorized by you, provide services to you in connection with your use of the Showshul Services (such as shipping carriers).
Amendment:
40. Showshul reserve all the rights to amend our policies of Use by notifying you of the changes in writing. Before the anticipated effective date of such change, we will notify you at least fourteen (14) days prior.

This can happen via our intuitive search engine, category browsing, or featured listings on the homepage. Organic discovery is bolstered by optimizing your product listings with detailed descriptions, high-quality images, and relevant keywords. This channel benefits from Showshul’s internal marketing efforts and SEO, increasing visibility at no extra cost to you.
2. Paid Promotions
When you join Showshul, you automatically opt-in for paid promotions.
- Showshul-Run Ads: We strategically place ads on social media, search engines, and other digital platforms to attract a wider audience to Showshul and, by extension, to your products.This approach uses sophisticated targeting to reach potential customers based on their interests, behaviors, and likelihood to purchase. Participating in this channel means your products are more likely to be seen by a broader, yet still targeted, audience.
- Content Creator Referrals (TrendTribe): Engage with content creators within the Showshul ecosystem who produce authentic and compelling user-generated content (UGC) about your products. This content can range from reviews and unboxing videos to creative showcases, shared on both Showshul and creators’ social media channels. This method taps into the creators’ followers, extending your reach and adding a layer of trust and endorsement to your products.
- Affiliate Marketing (TrendConnect): Through our affiliate program (named TrendConnect), influencers, content creators and affiliate marketers promote your products using unique links, earning a commission for sales they drive. Sales generated through self-promotion or organic discovery on Showshul incur no fees. This zero-commission approach is designed to maximize your profits, rewarding your efforts in marketing your store and products.
All sales generated through your direct promotional efforts or through organic discovery on our website and mobile app are subject to absolutely no sales or promotion commission. This allows you to retain all profits, exemplifying our dedication to your financial success. Please refer commission structure explained in above part of this document for better clarity.
Commission on Paid Promotion Sales:
When you join Showshul, you automatically opt-in for paid promotions.
For sales resulting from content creator referrals,affiliate marketing and Showshul-run offsite ads , a commission of 10% + VAT applies. This fee structure is transparent and supports the cost of advertising, compensating content creators and affiliates, and further developing Showshul’s promotional capabilities. It’s an investment in broadening your reach and leveraging professional, creative efforts to boost your product visibility and sales.

Terms and Conditions
1. Introduction
These Terms and Conditions govern the participation of sellers (“Seller,” “you,” or “your”) on Showshul (“we,” “us,” “our,” or “Showshul”), the UK-based social commerce marketplace. By listing products and engaging in sales and promotional activities on Showshul, you agree to these T&C.
2. Promotion and Sales Channels
2.1 Direct and Organic Sales: Sellers may promote their Showshul storefronts through their own marketing efforts or benefit from organic discovery by buyers on the Showshul platform. These sales incur no commission fees, allowing sellers to retain all profits.
2.2 Paid Promotions: Sales generated through Showshul-run ads, content creator referrals (including the TrendTribe program), and affiliate marketing (via the TrendConnect network) are subject to a 10% commission fee plus applicable VAT. This fee covers advertising costs, creator and affiliate commissions, and supports the promotional infrastructure of Showshul.
3. Affiliate Program Participation
3.1 Mandatory Enrollment: Upon becoming a seller on Showshul, you are automatically enrolled for paid promotion program including TrendTribe, TrendConnect and Showshul offsite Ads. Participation is mandatory as part of the Showshul selling experience.
3.2 Affiliate Sales: Sales generated through the TrendConnect network & TrendTribe are subject to the conditions outlined in section 2.2.
4. Commission Structure
4.1 Zero Commission for Direct and Organic Sales: Sales achieved through direct seller promotion or organic discovery on Showshul are not subject to commission or promotion fees.
4.2 Fees on Paid Promotion Sales: A Fees of 10% plus VAT is applied to sales resulting from paid promotional efforts, as detailed in section 2.2.
5. Seller Obligations
5.1 Compliance: Sellers must comply with all applicable laws, regulations, and Showshul policies. This includes, but is not limited to, accurate product descriptions, adherence to consumer protection laws, and timely fulfillment of orders.
5.2 Intellectual Property: Sellers are responsible for ensuring they have the right to sell the products listed and that their listings do not infringe upon the intellectual property rights of others.
6. Showshul’s Rights
6.1 Modification of Terms: Showshul reserves the right to modify these T&C at any time. Changes will be communicated to sellers and will take effect upon posting to the Showshul platform.
6.2 Promotional Activities: Showshul retains the right to engage in promotional activities, including but not limited to affiliate marketing and content creator collaborations, to enhance the visibility and sales of seller products on the platform.
7. Dispute Resolution
Disputes between sellers and Showshul shall be resolved through direct communication and, where necessary, formal mediation. Both parties agree to seek amicable solutions before resorting to legal action.
8. Governing Law
These T&C are governed by the laws of the United Kingdom. Any disputes related to these T&C shall be subject to the jurisdiction of UK courts.
Training Document For Bulk Listing
Ready to list your bulk product. Its just simple & easy. Lets get started.
1. Log in to Seller360.

2. Click on the ‘Listing’ option from the left side menu bar.

3. Navigate to Listing management, here you can see and manage your existing listings if you have any.
4. To create a new listing, click on ‘Add New Listing.’

5. There are 3 Ways to Create Product Listings by using.
- Add Single Catalog
- Add Catalog in Bulk
- Integrating APIs to connect with your existing system

In this process, you’ll learn how to list product in bulk. Click on “Add Catalog in Bulk”.
6. Search the category in search bar or can select the category by from the category list.

7. Download the excel template to convert your listing into Showshul format. All green highlighted column in the excel are mandatory format, rest are optional. Providing all the information in the excel will give better understanding of your product to the buyer. Now click on upload template file.

8. Next click on “Open Media Center” to upload the product image and create the image links. These links are required in the bulk listing template. Please note the image should be in the name of SKU, so that this will easy to identify the correct image of the given SKU in excel.
9. Also you can upload the image by creating folder of the images click on “Create” or can simply upload by clicking “Upload” button.

10. Once upload the image click on “Select all” or select the image which wants to create image link and click on “Download Files”.

11. Adjust the image link from the downloaded excel as per the SKU ID provided in the listing format. The excel will be download in below format.

12. Make sure you adjust the SKU ID and provide the correct image link from the downloaded excel to avoid any discrepancy in the listing. For example if you have multiple image available of one product and the multiple images uploaded in the media center then adjust the SKU ID as per below.

Then provide the image links in the template as per below. Kindly note the first image link will be the first image of your product. Therefore paste the link whatever you want to show in first, second, third etc.

13. Once listing sheet is ready, click on “Upload” to upload the listing template. Do not change the file name or format.

That’s all, After that product or the catalog template is sent for Quality check, it will take up to 48 hours for the for completion of the QC process.

Ready to list your products by using single listing? It’s just simple & easy. Let’s get started.
1. Log in to Seller360.

2. Click on the ‘Listing’ option from the left side menu bar.

3.Navigate to Listing management, here you can see and manage your existing listings if you have any.
4. To create a new listing, click on ‘Add New Listing.’

5. There are 3 Ways to Create Product Listings by using.

In this process, you’ll learn how to list a single product. Click on “Add Single Catalog”.

6. Enter your relevant product information on the Listing management page along with product images.

7. Select your brand in the drop-down list or click “Create” to register your brand.

8. Provide a detailed product description and the “Search Keyword Tags”.

9. Upload your product with clear images or videos (if available). To know our image guidelines, click on ‘Learn More’.

10. Now click on ‘Save and continue’ to proceed.
11. Provide details of your product variants, like color and size, and save it.

12. Fill in your product variants stock information and pricing detail and if the product images are the same, click on ‘Copy Images from Previous Page.’ If they’re different, upload new images.

13. Once all the information is filled out, click on ‘Send for QC.’
14. After submission it will take up to 48 hours for the completion of the QC process to live in Showshul.com.
